PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ENGAGING ENTER ZEN HERE (EZH) FOR MEDITATION TRAINING/TEACHING, CONSULTING AND/OR COACHING SERVICES.

PURCHASING MEDITAITON TRAINING/TEACHING, COACHING AND/OR CONSULTING SERVICES INDICATES ACCEPTANCE OF THESE TERMS.

The following are terms of a legal agreement between you and Enter Zen Here LLC (“Company”, “we”, “us”) By purchasing meditation teaching/training/coaching and/or consulting services from Company or any other property held by Company, you acknowledge that you have read, understood, and agree to be bound by these terms and to comply with all applicable laws and regulations.

1. INTRODUCTION: By continuing to use Company’s Teaching/Training/Coaching and/or Consulting Services (defined below), you agree to abide by these Terms and Conditions, as they may be amended by Company from time to time in its sole discretion. Please read these Terms and Conditions carefully. As a Client, you agree to be bound by these Terms and Conditions, both for current and for any additional services for which you may contract with Company, including all payment terms (collectively, the Agreement). In this Agreement, “you” and “your” refers to the Client.

You agree that any of your agents, representatives, employees, or any person or entity acting on your behalf with respect to the use of the Teaching/Training/Coaching and/or Consulting Services, shall be bound by, and shall abide by, these Terms and Conditions. You further agree that you are bound by these Terms and Conditions whether you are acting on your own behalf or on behalf of a third party, including another Client.

2. TERM, PAYMENT & MODIFICATION: For coaching, online memberships or consulting services- The term of this Agreement shall begin and become effective as of the sign-up date, which coincides with initial payment. The term shall continue as follows unless otherwise mutually agreed upon in writing. This Agreement shall renew at the end of each 30-day period for a successive 30-day term unless either party provides written 5-day notice of its intention not to renew or if both parties agree to enter a new contract term for a predetermined time period.

Any and all “one-time” purchases (Retreats, Events, Strategy Sessions, Workshops, In-Person Consulting) shall not be tied to any other services or subject to this Agreement, unless otherwise specified by client.

Client agrees to pay to Company all applicable charges to its account in United States dollars, in accordance with the payment terms and conditions and/or payment plan mutually agreed upon, including, if any, all applicable taxes. If any mutually agreed upon payment terms of additional services requested by you are different than the terms set forth in these Terms and Conditions, the payment terms for the additional services shall apply to those services. Client agrees that any setup fee (or similar one-time payment depending on the service selected by Client) is nonrefundable as it is applied to costs immediately incurred by Company in initiating services.

Client understands and agrees that the Teaching/Training/Coaching, Online Programs and/or Consulting Services are billed on the first day of the beginning of their month (see #2). In addition, if Client has elected to pay Company by credit card, Client agrees to authorize Company to charge its credit card in advance for such payments and for any amounts owed under this Agreement.

In the event collection proves necessary, the Client agrees to pay all fees (including all attorneys’ fees and court costs) incurred by that process.

You understand that Company may modify its standard terms and conditions and service offerings from time to time and that Enter Zen Here LLC reserves the right to adjust the pricing of such services. Following the fulfillment of initial contract terms, Clients in month-to-month contracts may be subject to revised terms and conditions and/or pricing.

3. METHOD OF PAYMENT: Client must set up direct withdrawal from a valid, sufficiently funded bank account or provide a valid credit card with sufficient credit that Company can bill for all contracted Services.

4. REFUND POLICY AND CANCELLATIONS: The product and/or services referenced herein is sold with strictly no refund after a 7 calendar day trial period. All cancellations within 7 calendar days of purchase need to be submitted in writing to [email protected]. Cancellations shall take effect within a 5-day period after the written request and the client’s credit card will not be charged again.

5. REFUNDS FOR RETREATS & EVENTS: Any orders of retreats or events may be cancelled within 30 days of purchase and before the 30-day window before the start date of the retreat. Retreats may be cancelled within this time frame for any reason, including personal problems or business problems, to be eligible for a full refund.

6. RESCHEDULES FOR RETREATS & EVENTS: Any retreats or events cancelled for any reason after 30 days of purchase OR before the 30-day window of the first day of the retreat are NOT eligible for a refund BUT are eligible for a reschedule. To qualify for a reschedule, please email [email protected] no later than the 30 days BEFORE the first day of the retreat or event. Rescheduled retreats must be rescheduled within one year of the original purchase date. Retreats may only be rescheduled once. Enter Zen Here is not liable for and does not reimburse air fare for any reason in case of a reschedule.

7. NO-SHOWS FOR RETREATS & EVENTS: In the event that the client does not notify EZH of a request to reschedule within the above 30-day window before a retreat OR the retreat or event starts and/or the client does not show to the retreat or event, the ability to reschedule is forfeited and any monies paid are not refundable. Because it is disruptive and counterintuitive for ALL retreatants/participants, clients/participants will not be admitted into a retreat after the start time/day without prior accommodations and approval by EZH. EZH is not liable for and does not reimburse air fare for any reason in case of a no-show.

8. NON-TRANSFERABLE: To protect the integrity and quality of the retreat experience, attendance at the Retreat is limited to the business owner who purchased the retreat and is non-transferable to friends, spouses, employees, or others.

9. EVENT OR RETREAT CANCELLATION. In case of an event or retreat cancellation due to conditions beyond the Company's control, including but not limited to governmental action, fire, flood, earthquake, power failure, riot, explosion, labor, or material shortage, facility issues, carrier interruption of any kind or work slowdown, then the retreat will be rescheduled within a reasonable time period. The company will not reimburse airfare. It is recommended that you purchase trip insurance from airlines directly.

10. AIR FARE REIMBURSEMENT BONUS. In the event that EZH was running a bonus of an air fare reimbursement that you qualified for, you must attend the retreat in full and submit your airfare receipt to EZH within 30 days of the last day of the retreat you attended. If your air fare price exceeded the amount allotted in the bonus, the reimbursement will only be up to the bonus amount. Reimbursements will be made within 14 days of the submitted documentation. Email your receipt to [email protected]. If EZH was not running an airfare bonus and/or you did not qualify for the bonus, this paragraph does NOT apply. In the event that a retreat is rescheduled or no-showed, there is NO air fare reimbursement for any reason.

11. SERVICES PROVIDED: Teaching/Coaching and/or Consulting Services are the process by which Company will help you grow your meditation practice via proprietary systems, frameworks and teaching/advice. Nothing in this program is a promise or guarantee of mental, physical or emotional health/changes. Clients level of success in attaining is dependent upon a number of factors including Clients efforts, attention, dedication to practice, capacity to follow instruction and stay within their window of tolerance, skill, knowledge, ability, dedication, and prior experience(s). EZH, its owners, managers, employees, consultants, affiliates, coaches, speakers or any of the trainers do not guarantee any particular outcome, change(s) or increased ability/capacities.

12. CONFIDENTIAL INFORMATION: All information disclosed by Company to Client shall be deemed Confidential Information, regardless of whether marked or identified as “CONFIDENTIAL” or “PROPRIETARY.” Notwithstanding anything to the contrary, Confidential Information shall also include, and the provisions of this Agreement shall apply to any other information in oral, written, graphic or electronic form which, given the circumstances surrounding such disclosure to or learning by Client, would be considered confidential.

12.(a) - “Confidential Information” means any non-public, oral, written graphic or machine-readable information, including but not limited to, that which relates to meditation frameworks/outlines/techniques, patents, patent applications, trade secrets, research, product plans, products, developments, inventions, processes, designs, drawings engineering, formulae, markets, market research, market plans, software (including source and object code), hardware configuration, computer programs, algorithms, regulatory information, business plans, pricing, agreements with third parties, services, customers, marketing or finances of the Company or one of its subsidiaries or affiliates.

13. CLIENT INDEMNIFICATION OBLIGATIONS: Client agrees to indemnify, defend, and hold harmless Company, its distribution partners, its licensors and licensees, and affiliated companies, and any of their officers, directors, employees, representatives and agents, from and against all claims, actions, liabilities, losses, expenses, damages, and costs (including, without limitation, reasonable attorneys’ fees) that may at any time be incurred by any of them by reason of any claims, suits, or proceedings (collectively being referred to herein as a “Claim”) for, including without limitation, libel, violation of right of privacy or publicity, copyright infringement, trademark infringement, or other infringement of any third party right, fraud, false advertising, misrepresentation, product liability, or violation of any law, statute, ordinance, rule, or regulation throughout the world in connection with Teaching/Training/Coaching and Consulting Services performed on behalf of Client, Client’s conduct, acts or omissions, or any alleged or proven breach by Client of any term, condition, agreement, representation, or warranty herein, excluding any Claim that arises solely from the acts or omissions of Company or its agents or employees. Company will notify Client of any claim, action, or demand for which indemnity is required in the reasonable opinion of Company and will cooperate reasonably with Client at Client’s expense. At the election of Company, Client shall advance to Company amounts in satisfaction of such Claim, which Company may hold in escrow pending resolution of such Claim. The law firm Client chooses to defend Company must be experienced in defending similar claims and will be subject to Company’s approval, which will not be unreasonably withheld. Client may not settle any lawsuit or matter relating to the culpability or liability of Company without the prior written consent of Company. Company will have the right to participate in any defense of a claim and/or to be represented by counsel of its own choosing at its own expense. Without limiting any rights and remedies hereunder or under applicable law, Company shall have the right to set off any liability of Client to Company with respect to a Claim against any amounts held on deposit with Company by Client.

14. LIMITATION OF LIABILITY AND WARRANTY DISCLAIMER: Company makes no representations or warranties relating to the results of Meditation, Teaching, Coaching and/or Consulting Services, including, without limitation, any specific life-changes, results, cognitive changes, physical or mental changes.

Clients level of success in attaining results is dependent upon a number of factors including client skill, knowledge, ability, dedication, and resources. Enter Zen Here, its owners, managers, employees, consultants, affiliates, coaches, speakers or any of the trainers do not guarantee Client's success or changes in medical, physical or mental health. This is NOT a “mental health fix/quick fix” or “get fit quick” opportunity.

Meditation program or guidance provided by Enter Zen Here is intended for general well-being and educational purposes only. They are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health providers with any questions you may have regarding a mental health or medical condition. Never disregard professional medical advice or delay in seeking it because of something you have learned in this program. Participation in any of EZH’s programs/workshops/retreats are completely voluntary, and you assume all risks associated with the practice of meditation. While meditation can offer many benefits, it may also bring up strong emotions or unresolved issues. Enter Zen Here, its owners, managers, employees, consultants, affiliates, coaches, speakers or any of the trainers ARE NOT licensed mental health professionals, and the meditation practices taught are not a substitute for therapy or counseling. If you are experiencing severe emotional distress or mental health issues, consult a mental health professional. If you feel overwhelmed at any time during the practice, you are encouraged to stop and seek appropriate support and inform your teacher/coach/instructor.

EZH is not liable for any injuries or adverse effects that may result from your participation in this meditation program. By participating, you acknowledge that meditation involves physical and mental activity, and you agree to assume full responsibility for any risks, injuries, or damages, known or unknown, which you might incur as a result of participating in any meditation program. You agree to release and discharge EZH, its owners, speakers, employees, and trainers from any and all claims or causes of action, known or unknown, arising out of participation in the meditation program.

(c) As Company relies on third parties for certain data, Company makes no guarantees regarding the accuracy, reliability, or completeness of any usage statistics.

15. CHOICE OF LAW; EXCLUSIVE VENUE: This Agreement shall be construed in accordance with the laws of the state of Utah, and the parties agree that should any dispute arise concerning this Agreement, venue shall be laid exclusively in a court of competent jurisdiction in Utah County, State of Utah.

16. WAIVER: Waiver by one party hereto of breach of any provision of this Agreement by the other shall not operate or be construed as a continuing waiver. No waiver of any breach or default of this Agreement by either party hereto shall be considered to be a waiver of any other breach of default of this Agreement.

17. ENTIRE UNDERSTANDING: This document and any exhibit, schedule, or other supplementary document attached constitute the entire understanding and agreement of the parties, and any and all prior agreements, understandings, and representations are hereby terminated and canceled in their entirety and are of no further force and effect.

18. EXECUTION: This agreement is executable upon receipt of a signed agreement or successful payment from Client. By purchasing an event or retreat, or coaching and/or consulting services from Company, you acknowledge that you have read, understood, and agree to be bound by these terms and to comply with all applicable laws and regulations.
